Terms of Service

Welcome to AIDEN. These Terms of Service (“Terms”) form a binding agreement between you (“you”) and AIDEN (“AIDEN,” “we,” “us”). By creating an account, accessing, or using any part of our website, APIs or applications (together, the “Service”), you agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Service.

1. Accounts and eligibility

You must be at least 13 years old (or the age of digital consent in your country) to use the Service, and at least 18 years old to purchase a paid plan. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

Academic pricing is available to users who verify an eligible institutional email address. You agree to provide accurate verification information; misrepresentation may result in suspension and backdated charges.

2. The Service

AIDEN is a platform for building, running and sharing AI agents and knowledge bases. The Service may include access to third-party AI models, tools and data sources. Model behaviour is probabilistic and AIDEN does not guarantee the accuracy, completeness or fitness for any purpose of any output.

We may modify, add or remove features, models and integrations at our discretion. Where a change materially reduces functionality on an active paid plan, we will provide reasonable notice and, where required, a prorated refund.

3. Credits, plans and billing

Usage of the Service is metered in credits. Each model call, tool invocation and modality has a published credit rate. Credits are allocated from:

• Free-tier allowance — 20 credits per day, restricted to standard models, no rollover. Resets every 24 hours.
• Plan credits — included with an active subscription and reset each billing cycle. Unused plan credits do not roll over.
• Top-up credits — purchased separately. Top-ups never expire and are consumed after plan credits are exhausted in a given cycle.

Subscriptions auto-renew at the then-current price until cancelled. You can cancel at any time from your account settings; your plan remains active until the end of the current billing period. Except where required by law or expressly stated otherwise, charges are non-refundable. India-region users are billed in INR via Razorpay; international users are billed in USD.

Prices may change with at least 30 days' notice. Any price change applies only to subsequent billing periods.

4. Your content

“Your Content” means anything you upload, submit, store or generate through the Service — including agents, knowledge base files, prompts, chats and outputs. You own Your Content.

You grant AIDEN a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content strictly as necessary to operate the Service for you. We do not use Your Content to train foundation models. Where you choose to publish or share an agent (for example, a public share link or marketplace listing), you grant other users a licence to access that agent in line with the sharing controls you selected.

You are solely responsible for Your Content and for the rights to use it. You represent that you have obtained all necessary permissions and that Your Content, and your use of the Service, does not violate the Acceptable Use Policy or any law.

5. Third-party models and services

The Service routes requests to third-party model providers (such as OpenAI, Anthropic, Google and xAI) and integrations (such as Composio connectors). Your use of those providers through the Service is also subject to their respective terms and policies. AIDEN is not responsible for the availability, accuracy or outputs of any third-party provider.

6. Intellectual property

AIDEN and its licensors own all rights, title and interest in and to the Service, including our software, branding, designs, and documentation. These Terms do not grant you any rights in AIDEN's intellectual property except the limited licence to use the Service while your account is in good standing.

7. Acceptable use

You must comply with the Acceptable Use Policy, which is incorporated into these Terms. Violations may result in suspension or termination without refund.

8. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the integrity of the Service or other users. On termination, your licence to use the Service ends immediately. We will provide a reasonable window (at least 30 days unless prohibited by law) to export Your Content, after which we may delete it.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE, BIASED OR INCOMPLETE — YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING OUTPUTS BEFORE RELYING ON THEM, ESPECIALLY FOR MEDICAL, LEGAL, FINANCIAL OR OTHER HIGH-STAKES DECISIONS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO AIDEN IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR USD 100, WHICHEVER IS GREATER. AIDEN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION.

11. Indemnification

You will defend, indemnify and hold AIDEN harmless from and against any third-party claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your use of the Service in breach of these Terms, or from Your Content.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 14 days in advance through the Service or by email. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of India, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India — except that either party may seek injunctive relief in any competent jurisdiction to protect intellectual property rights.
